Net Units definition

Net Units means units of the Product actually sold, less returns in accordance with Section 1.17. The Annual Net Sales thresholds set forth in subsections (a) through (e) of this Section 4.1 shall be proportionately reduced: (i) in the Calendar Year in which the First Commercial Sale occurs, by multiplying such Annual Net Sales thresholds by a fraction, (A) the numerator of which shall be the number of days remaining in such Calendar Year as of the First Commercial Sale and (B) the denominator of which shall be 365; and (ii) in the Calendar Year in which the Term expires, by multiplying such Annual Net Sales thresholds by a fraction, (X) the numerator of which shall be the number of days in such Calendar Year prior to the expiration of the Term and (Y) the denominator of which shall be 365.
Net Units means, with regard to any Direct Product in any calendar quarter, (i) the number of units of that Direct Product invoiced by GMS Entities, less (ii) the number of units of that Direct Product returned to GMS Entities, in each case, during that calendar quarter.
Net Units means, with respect to each Product, the total number of Units of Product which are sold by Abbott in the Territory to Third Parties during a given Sales Year or *** Portions of this page have been omitted pursuant to a request for Confidential Treatment and filed separately with the Commission. More Definitions of Net Units

Net Units means the result obtained by dividing:
Net Units means the number of units of the LICENSED PRODUCT sold and delivered to an END USER thereof (FOB LICENSED PRODUCT manufacturer's loading dock) net of returns of unusable units.
Net Units as used herein, means the number of Units sold of all Licensed DEKALB Corn Products and Licensed MONSANTO Corn Products in arm's length sales to third parties after deduction of credits or allowances given or made for rejection or return of previously sold Licensed DEKALB Corn Products and Licensed MONSANTO Corn Products. Where the product is covered under the present Agreement and under licenses that evolve from the Collaboration Agreement and License, the CaMV Promoter License Agreement or the Corn Borer-Protected Corn License Agreement, all three of even date herewith, "Net Units" must be calculated separately for each Agreement. The use by DEKALB or Affiliates, International Associates or sublicensees of DEKALB or MONSANTO of commercially reasonable amounts of Licensed DEKALB Corn Products or Licensed MONSANTO Corn Products for promotional sampling or replant shall not be included in Net Units.

  • Trust Units means units of the Trust;

  • Initial Units means, with respect to any Initial Limited Partner, the aggregate number of Class A Units owned by such Initial Limited Partner as of the date of this Agreement.

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Core Units means such Units of the Trust that are issued to Core Investors with the condition that these are not redeemable for a period of two years from the close of the First Offer Period. Such Units are transferable with this condition, but otherwise shall rank pari passu with all other Units, save for this restriction. Any transfer of the Core Units, during the first two years of their issue as mentioned herein, shall be affected only on the receipt by the Registrar of a written acceptance of this condition by the transferee.
