If the Parties are unable to agree within forty-five (45) days following such meeting on the computation of the Net Receivable Amount, then the computation of the Net Receivable Amount shall be determined by arbitration as set forth in Section 12.11 (provided, that if the Parties agree, they may appoint a single arbitrator for purposes of this Section 1.3).
In the event that any Party (i) fails to provide any computation of the Net Receivable Amount within five (5) business days of a written request therefor or (ii) having been furnished with the other Party’s computation, fails to provide a notice of dispute within the period set forth above, the Party failing to provide the computation or failing to provide such notice of dispute shall be deemed to have accepted and may not dispute the other Party’s computation for purposes of this Agreement.
In the event that both Parties provide a notice of dispute, the Parties’ respective representatives shall meet as promptly as practicable to attempt to agree on the computation of the Net Receivable Amount.

Based upon the calculation on the Net Payable Amount or the Net Receivable Amount as determined in the audited financial statements of the Company prepared by Coopers & Lybr▇▇▇ ▇▇▇ for the year ending December 31, 1997, the Net Payable Amount or the Net Receivable Amount, as applicable, shall be paid by the appropriate party as set forth above, without interest, within five (5) business days following receipt of such audited financial statements.
The Parties acknowledge that the portion of the CICC/Nafta Sodufa Net Receivable Amount allocated to the CICC/Sodufa Balance may not equal the amount of CICC/Sodufa Balance as of the Closing Date and that there will be no post-closing adjustment for any difference between the actual amount of the CICC/Sodufa Balance as of the Closing Date and the amount allocated to such CICC/Sodufa Balance.
