For the avoidance of doubt, in no event shall the Executive be required to deliver to the Company more than the Net Performance Shares (or cash equal to the net after-tax proceeds received upon the sale of such shares) that he received pursuant to this subparagraph 4(c).
After receiving a proper notice of exercise of Performance Units, the Company shall cause to be paid to the Optionee, within one month of exercise, an amount equal to the Net Performance Unit Value for each Performance Unit so exercised, less any applicable tax withholdings.
Each Performance Unit shall entitle the Optionee to a cash payment, equal to the Net Performance Unit Value, determined as of the most recent valuation.
