Net GMV definition
Net GMV means the sum of (i) net revenues generated from merchandise sales, and (ii) net revenues generated from marketplace services plus corresponding payables to third-party merchants;

For the avoidance of doubt, “sum of the retail goods transaction” under this Agreement shall mean the Paid-up Net GMV, i.e. it only includes the amount users actually paid (including the delayed amount that are transferred within the first five days of next months), deducting the amount of sales activities in the form of coupon, rebates, etc., and does not include those normal orders which are only worth nil or RMB1.
