Net Effective Price definition

Net Effective Price means all sums and other consideration to be paid to Tenant by the assignee for, or by reason of, the assignment of this Lease less the present value (discounted at the Prime Rate, compounded monthly) of the amortized cost (such cost to be amortized over the remainder of the Term as of the proposed effective date of such assignment on a straight line basis with interest thereon at the Prime Rate) of any tenant construction allowances and cost of work to be performed by or on behalf Tenant specifically to prepare the Premises for occupancy by such assignee; it being expressly agreed that no portion of the cost of Tenant’s Initial Work, the RTS Work Costs or the cost of any other Tenant Changes not specifically made by or on behalf of Tenant in order to in order to prepare the Premises for occupancy by such assignee shall be included in calculating the Net Effective Price hereunder.
Net Effective Price means all sums and other consideration to be paid to Tenant (or any subtenant) by the assignee for, or by reason of, the assignment of this Lease less the present value (discounted at the Prime Rate, compounded monthly) of the amortized cost (such cost to be amortized over the remainder of the Term (or the term of a sublease, as the case may be) as of the proposed effective date of such assignment on a straight line basis with interest thereon at the Prime Rate) of any tenant construction allowances and cost of work to be performed by or on behalf Tenant specifically to prepare the Premises (or the sublet premises) for occupancy by such assignee; it being expressly agreed that no portion of the Costs of Fit-out Work, the FF&E Work or the cost of any other Tenant Changes or other alterations not specifically made by or on behalf of Tenant (or any subtenant) in order to prepare the Premises (or the sublet premises) for occupancy by such assignee shall be included in calculating the Net Effective Price hereunder.
Net Effective Price shall have the meaning set forth in Section 8.04A(ii) hereof.

  • In the event Comcast believes ▇▇▇▇▇▇▇.▇▇▇ may be selling a Substantially Similar Service to a third party at a Net Effective Price lower than pricing for Comcast, Comcast may request that ▇▇▇▇▇▇▇.▇▇▇ investigate the pricing in question and respond promptly to Comcast with its findings.

  • Notwithstanding anything contained herein to the contrary, Seller hereby represents and warrants to Buyer that the Net Effective Price for each Product hereunder shall not exceed the lowest Net Effective Price for such Product offered by Seller to any of its other reseller customers (excluding Distributors and Seller’s Affiliates) in the Territory for substantially equivalent purchases on substantially equivalent terms.

  • If Seller extends a lower Net Effective Price for any Product to any other reseller customer in the Territory (excluding Distributors and Affiliates), Seller will notify Buyer thereof within five (5) business days of such offer and shall reduce the Net Effective Price to such price effective as of the date of such sale.
