Net Difference definition

Net Difference shall have the meaning set forth in Section 2.2(b) hereof;
Net Difference has the meaning give such term in Section 2.4(c)(iii).
Net Difference shall have the meaning set forth in Section 4.3 of this Agreement.

  • If the Final Closing Equity exceeds the Base Equity, Buyer shall have no claim against Seller with respect to the Audited Net Difference.

  • To the extent the Audited Results reflect a Net Difference (calculated on the basis set forth above) of more or less than the $408,294 Net Difference as set forth above, Shareholder shall pay to the Company, or the Company shall pay to Shareholder, as the case may be, the amount of such discrepancy.

Related to Net Difference

  • Adjustment Percentage means, with respect to any Loan, the quotient (expressed as a decimal) of the Loan Value for such Loan divided by the Cut-Off Date Unpaid Principal Balance of such Loan.

  • Applicable Multiplier means, with respect to any Rate Period for any Series of RVMTP Shares, the percentage set forth opposite the applicable credit rating most recently assigned to such Series by the Rating Agency in the table below on the Rate Determination Date for such Rate Period: *And/or the equivalent ratings of any other Rating Agency then rating the RVMTP Shares utilizing the highest of the ratings of the Rating Agencies then rating the RVMTP Shares.

  • Adjusted CD Rate has the meaning set forth in Section 2.07(b).

  • Adjusted Fair Market Value means, in the event of a Change in Control, the greater of (i) the highest price per Share paid to holders of the Shares in any transaction (or series of transactions) constituting or resulting in a Change in Control or (ii) the highest Fair Market Value of a Share during the ninety (90) day period ending on the date of a Change in Control.

  • Adjusted One Month LIBOR Rate means, an interest rate per annum equal to the sum of (i) 1.00% per annum plus (ii) the Adjusted LIBO Rate for a one month Interest Period on such day (or if such day is not a Business Day, the immediately preceding Business Day); provided that, for the avoidance of doubt, the Adjusted LIBO Rate for any day shall be based on the Screen Rate at approximately 11:00 a.m. London time on such day.
