The resolutions of the Nesco Board attached to Exhibit 9.4 hereto are true, complete and correct copies of the resolutions duly adopted by Nesco's Board relating to this Agreement, the other Transaction Documents, the Exchange and the other transactions contemplated hereby and thereby.
Nesco and each Nesco Signatory Stockholder who is a member of the Nesco Board further agrees that they shall take all action necessary to nominate the HDS Designees to stand for election as directors of Nesco at the initial annual meeting of Nesco Stockholders held after the Closing and at every annual meeting thereafter unless waived by the HDS Signatory Stockholders.
