In any such event, MASIMO shall have the right to give NEMSA notice of termination of this agreement as provided without any responsibility, liability or obligation on the part of MASIMO for the remaining term of this agreement, nor for the payment of rent, except for labor obligations that deal with severance provisions under Mexican law.
This contract shall not be amended or modified except in writing by NEMSA and the exhibitor.
The exhibitor assumes entire responsibility and hereby agrees to protect, indemnify, defend, and hold harmless NEMSA its members, or agents, against all claims, losses, and damages to persons or property, governmental charges of fines, attorney's fees, or subrogation claims by its insurer, arising out of or caused by an exhibitor's installation, removal, maintenance, occupancy, or use of the exhibition premises or a part thereof, including the outside exhibition areas.
In addition, the exhibitor acknowledges that the NEMSA does not maintain insurance covering the exhibitor's property.
No alcoholic beverages, other than what is purchased at the location, shall be sanctioned by the hosting facility, and NEMSA may be served on the exhibit floor.
If any part of the "Exhibit Space" covered by this agreement becomes vacant or is not used by an exhibitor, a NEMSA Board Member or the Vendor Coordinator may terminate this agreement by notice to the exhibitor, whereupon the exhibitor's rights and privileges shall terminate.
The exhibitor agrees to and shall abide by these exhibit terms, conditions, and general regulations, as well as any additional rules and regulations NEMSA shall publish as it deems necessary or appropriate.
The exhibitor shall also comply with all reasonable requests of NEMSA, owners of the exhibit hall, and governmental officials with respect to the installation, conduct, and disassembly of the exhibit.
All exhibits must be operational by 7:00 am on Friday of the NEMSA Super Conference.
NEMSA reserves the right to cancel any contract with any exhibitor at any time prior to or during the conference.
