Negotiation Expenses definition

Negotiation Expenses means the sum agreed to by Canada and the First Nation as set out in section 3.2, which sum includes the costs incurred by the First Nation for research, preparation, negotiation, settlement of the Specific Claim, the ratification of the Settlement Agreement, including legal and other professional fees, and for any other costs related to the foregoing;

Examples of Negotiation Expenses in a sentence

  • In no event will SRT be required to make an Initial Capital Contribution in cash to the Company; provided, as contemplated by the Purchase Agreement, the purchase price for the Initial Company Property shall be reduced by an amount equal to (i) the sum of the Contract and Due Diligence Costs and Member Negotiation Expenses for which the Members are entitled to reimbursement under Section 4.01(b) multiplied by (ii) SRT’s Percentage Interest.

  • The Members acknowledge and agree that all Contract and Due Diligence Costs in connection with the Pinnacle 1 Property and the Pinnacle 2 Property, and Member Negotiation Expenses, shall be borne by such Member or its Affiliates and shall not be paid or reimbursed by the Company.
