Necessary Capital definition

Necessary Capital means any capital that is not Non-Discretionary Capital that is needed from time to time by the Company or any Property Company for Company or Property Company purposes.
Necessary Capital is defined in Section 3.4(b).

Examples of Necessary Capital in a sentence

  • The Borrower shall not, and shall not permit any Subsidiary to, make any capital expenditures, except Environmental Capital Expenditures or Necessary Capital Expenditures.

  • Purchaser will at Closing pay to ComEd the amount expended by ComEd on account of all Pre-Approved Capital Expenditures, Necessary Capital Expenditures, Approved Capital Expenditures and Pre-Closing Remediation Expenditures made or completed by the Closing, and Purchaser will assume responsibility for and release ComEd from liability for all such expenditures.

  • If, for any reason, DLJMB fails, in a timely manner, to issue any Capital Call Notice for Required Expansion Capital or Necessary Capital (excluding, however, Operating Capital) in accordance with this Section 3.4, then Morgans Co. also shall have the right to issue a Capital Call Notice if DLJMB fails to issue a Capital Call Notice within ten (10) Business Days after written notice from Morgans Co. to DLJMB specifying such failure.

  • No Capital Member shall be obligated under this Section 3.4(b) to make a Capital Contribution in respect of Necessary Capital unless such Capital Contribution is expressly contemplated by the applicable Approved Development Budget (in the case of an Approved Development Project) or Approved Operating Plan.

Related to Necessary Capital

  • Regulatory Capital means the capital requirement specified in Article 11;

  • Medically necessary care means care that is (1) appropriate and consistent with and essential for the prevention, diagnosis, or treatment of a Patient’s condition; (2) the most appropriate supply or level of service for the Patient’s condition that can be provided safely; (3) not provided primarily

  • Regulatory Capital Requirements means any applicable capital resources requirement or applicable overall financial adequacy rule required by the Relevant Regulator, as such requirements or rule are in force from time to time;

  • Adequately Capitalized means compliance with the capital standards for bank holding companies as described in the Bank Holding Company Act of 1956, as amended, and regulations promulgated thereunder.

  • Solvency Capital Requirement means the Solvency Capital Requirement or the group Solvency Capital Requirement (as applicable) referred to in, or any other capital requirement (other than the Minimum Capital Requirement) howsoever described in, the Relevant Rules;
