The Contractor acknowledges that in having access to the Confidential Information, the Contractor may as consequence gain access to or knowledge of persons, companies or opportunities which have originated or been created by and through the efforts of NDV (“Corporate Opportunities”).
Immediately upon the written request of NDV, the Contractor shall promptly return or certify that it has destroyed any tangible or electronic versions of the Confidential Information provided under this Agreement, including, without limitation, summaries, extracts, working papers, analyses, compilations and any copies thereof.

Each Party agrees that such reasonable steps, efforts and measures shall not be less than those employed by NDV to safeguard its own Confidential Information and shall in no event be less than those employed by a reasonable party in the circumstances given the nature of the Confidential Information and the potential harm caused by the Confidential Information’s unauthorized disclosure.
Accordingly, NDV may seek and obtain equitable relief, including injunctive relief and/or specific performance, regarding the breach or threatened breach of the foregoing undertakings.
