NDD definition

NDD means Tekelec's Network Diagnostics Division.
NDD means the aggregate number of shares of Parent Common Stock actually held by all Deep Dish Post-Merger Equityholders (on an as-converted to Parent Common Stock basis), (1) after giving effect to the applicable Deep Dish Indemnity Issuance, and (2) without giving effect to any issuances of Parent Capital Stock to any of the Deep Dish Equityholders or Thin Crust Equityholders other than (y) issuances resulting from the consummation of the Transactions and (z) prior Indemnity Issuances, if any;

  • NDD shall test or cause to be tested each batch of ASICs pursuant to this Agreement before delivery to CMS.

  • The Engineer shall include (at a minimum) copies of the appropriate pages of the Transportation Improvement Program (TIP)/Statewide Transportation Improvement Program (STIP), coordination letters, results of the NDD search, and applicable surveys or technical reports.

  • If NDD fails to maintain any patent under the Patent Rights, upon written notice to NDD, CMS may file such documents and make such payments as are necessary to maintain any such patent.

  • CMS shall notify NDD in writing whether it intends to make up such difference or not.

  • Such accountant shall examine the records kept pursuant to this Agreement and such other relevant books and records as it deems reasonably necessary to determine whether the Net Sales and royalty payment amounts reported to NDD were accurately reported in accordance with this Agreement.

  • NDD, at its sole cost and expense, shall obtain and keep in force during the term of this Agreement a policy of comprehensive liability insurance with bodily injury, death and property damage limits in commercially reasonable amounts.

  • NDD shall send or cause to be sent such report to CMS along with delivery of the ASICs. CMS is entitled to rely on such report for all purposes of this Agreement.
