Such NCMS Party is a corporation duly organized, validly existing and in good standing under the Laws of the jurisdiction in which it is incorporated, and has all requisite power and authority to own, lease and operate its properties and assets and to carry on its business as it is now being conducted and as proposed to be conducted in this Agreement and in each other Transaction Document to which it is a party.
