  • KBA shall have received a sworn certificate from NCHP dated as of the Closing Date, setting forth its United States tax identification number and stating that NCHP is not a "foreign person" and is a "United States Person" as that term is defined in Section 7701(a)(3) of the Internal Revenue Code of 1986, as amended.
