This Agreement shall automatically terminate (except as provided in Section 10(j) below) without any further action of either party hereto upon the earliest of (i) the date on which the Purchaser has purchased Common Stock pursuant to this Agreement with an aggregate Purchase Price of $30,000,000, (ii) the date on which the Purchaser has purchased an amount of Common Stock pursuant to this Agreement that equals the NASD Limit and (iii) the date which is 30 months after the Effective Date.
Notwithstanding any other provision of the Transaction Documents, the Purchaser shall in no event be required to purchase pursuant to this Agreement an aggregate number of Purchased Shares and Adjustment Shares that is in excess of the NASD Limit or a number of Purchased Shares having an aggregate Purchase Price greater than $30,000,000.
If, upon any exercise of this Warrant, shares of Common Stock that would otherwise be issuable upon such exercise are not issuable due to the provisions of the foregoing sentence, then in lieu of issuing shares of Common Stock pursuant to Sections 2 or 3: the Company shall issue the maximum number of shares of Common Stock, if any, issuable up to the NASD Limit; provided, that if more than one holder of Warrants is exercising Warrants at such time.
Notwithstanding any other provision of the Transaction Documents, the Purchaser shall in no event be required to purchase pursuant to this Agreement a number of Shares in excess of the NASD Limit or having an aggregate Purchase Price greater than $30,000,000.
