Except as set forth on Schedule 7.4, all NAS Licenses are currently in full force and effect and there are no pending or, to the Knowledge of NAS, threatened revocation proceedings which would have a Material Adverse Effect on the operation of the NAS Business, nor, to the Knowledge of NAS, is there any Basis for any such proceeding.
The NAS Licenses listed in Schedule 7.4 are all of the material and necessary Licenses which are required in connection with the current operation of the NAS Business.
Between the date of the Agreement and the Closing, NAS (i) shall, in all material respects, operate the NAS Business, serve its customers, and preserve and maintain the Assets of NAS and relationships with customers, vendors and employees in a reasonable and prudent manner and (ii) shall, in all material respects, conduct the NAS Business in the ordinary course.
