  • The Company, the Guarantors and each Named Holder agree that it would not be just and equitable if contribution pursuant to this Section 9(d) were determined by pro rata allocation (even if the Named Holders were treated as one entity for such purpose) or by any other method of allocation which does not take account of the equitable considerations referred to in the immediately preceding paragraph.

  • Whenever any Certificates are so surrendered for exchange, the Trustee shall execute, and the Certificate Registrar shall authenticate and deliver, the Certificates that the Named Holder making the exchange is entitled to receive.

  • Any such notices will be delivered to, and the obligations under this Section 5.2 will be deemed to be satisfied when such notices are delivered to, the Named Holder (as defined in the Stockholders Agreement, including, for the avoidance of doubt, in the definition of Significant Interest Holder) for Registered Holders, if applicable, initially being ▇▇▇▇▇▇ Road Asset Management LLC.
