Except as set forth in Part --------- II of Section 3.1(q) of the Western Disclosure Schedule, as of the date of this Agreement, nothing has come to the attention of the Western Named Executives, including any written or email correspondence from customers or from other employees of Western, that, taken in the aggregate together with all other available information relating to such Western Named Customers, causes such Western Named Executives to believe that Part I of Schedule 3.1(q) is unreasonable.
Company agrees to pay Consultant for services a success based fee consisting of (i) 4% cash and (ii) 4% non-qualified stock options ("NQSOs") calculated on the contract value (excluding taxes, freight or other such charges) of an AXIS services contract executed between Chyron and certain third party organizations ("Named Customers") listed in Schedule A to the Agreement.

Occam may not sell Occam Products directly to a Named Customer, but may sell Occam Products to third parties who resell the Occam Products to Named Customers.
The business interruption limit of insurance can be included in the all-risk property policy limit described above in I.1. Such insurance shall include coverage for contingent business interruption covering non-owned substations(s) and switching stations (to the extent they are First Tier Named Customers or suppliers) which can be a sublimit to the all-risk property policy limit described in I.1. above.
