Upon receipt of the entirety of the Settlement Sum, VPR hereby grants to MYLE a fully paid-up, royalty free, non-exclusive license to practice the invention in the Asserted Patent and all related patents and applications, for the full term of the Asserted Patent including, without limitation, the rights to make, have made, use, import, license, offer to sell, and sell the invention in the Asserted Patent and all related patents and applications with respect to the Subject Articles and otherwise.

VPR may not assign this Agreement or its rights under the Asserted Patent unless such assignments or transfers of rights are made subject to the rights granted MYLE in this Agreement.
Notwithstanding the foregoing, MYLE shall pay VPR the sum of One Hundred and Twenty-Five Thousand ($125,000.00) (the “Settlement Sum”) by wire transfer of immediately available funds in United States Dollars in two equal installments of Sixty-two Thousand Five Hundred and No One-Hundredths Dollars ($62,500.00), the first such installment to be paid on or before August 12, 2022 and the second such installment being paid on or before August 26, 2022.
MYLE covenants that it will take no action, directly or indirectly to render any claim of the Asserted Patent invalid or unenforceable or not infringed, and that they will take no action, directly or indirectly to aid or assist any third-party to render any claim of any Asserted Patent invalid or unenforceable or not infringed.
