Multitex has not had discussions with, negotiated with, been represented by or employed any broker or finder or incurred any liability for any brokerage fees, commissions or finder's fees to any individual or entity in connection with this Agreement or any of the transactions contemplated hereby.
An affidavit, in the form and substance satisfactory to Buyer, stating Multitex's U.S. Taxpayer's Identification Number, that Multitex and all persons holding beneficial interest in the Real Property are "United States Persons" as defined by Section 1445(f)(3) and Section 7701(g) of the Internal Revenue Code of 1986, as amended.
An allocation of the Purchase Price shall be proposed by Buyer and shall be delivered to Multitex within sixty (60) days following the Closing Date.
