Multiparty Contract definition

Multiparty Contract means any Contract to which (i) any of the Targets, (ii) Sellers or any of their Affiliates (other than the Targets) and (iii) a third party are each a party thereto or by which their respective properties or assets are subject or bound.
Multiparty Contract means any Contract to which (i) any of the Transferred Companies, (ii) Sellers or any of their Affiliates (other than the Transferred Companies) and (iii) a third party are each a party or by which their respective properties or assets are subject or bound.

Examples of Multiparty Contract in a sentence

  • The contract constituting the separated portion of any Multi-party Contract that relates to the Business as described in the preceding sentence shall be assumed by and become the responsibility of the applicable Buyer.

  • From and after the Closing, Sellers shall indemnify and hold harmless the Targets, Buyer and their Affiliates from and against any Adverse Consequences resulting from, arising out of or relating to Sellers’ or their Affiliates’ actions or omissions (whether taken prior to, at or after the Closing) in connection with any Multiparty Contract.

  • The contract constituting the separated portion of any Multi-party Contract that relates to the Business as described in the preceding sentence shall be assumed by and become the responsibility of the Company.

  • Each Party making purchases or receiving services under any Multi-party Contract shall indemnify and hold harmless the other Party and its Affiliates for any claims, damages, etc.
