MtM Value definition

MtM Value means, with respect to a valuation date under the Credit Support Deed, an amount determined by the Calculation Agent in its sole discretion as the amount which would be payable by the Swap Counterparty in respect of the early termination of the Swap Agreement on such valuation date.
MtM Value means, in respect of a Secured Security, the marked to market value (expressed as an amount) of such Secured Security (taking into account all factors which the Collateral Agent determines relevant) immediately prior to the occurrence of an Enforcement Event, provided that no account shall be taken of the financial condition of (i) the Issuer which shall be deemed to be able to perform fully its obligations in respect of the Secured Securities or (ii) the Guarantor which shall be deemed to be able to perform fully its obligations in respect of the Guarantee and provided further that where the relevant Secured Security is one to which Cash Settlement is applicable and is a Secured Security in respect of which the Relevant Settlement Date is due to occur on or prior to the date on which the Enforcement Event occurred, the marked to market value of the Secured Security, for the purpose of determining such amount, may not be less than the Relevant Settlement Amount payable in respect thereof;
MtM Value means at any time an amount (which may be positive or negative) as determined by the Calculation Agent which would be payable to Party A (expressed as a negative if an amount would be payable by Party A) and calculated in accordance with Section 6(e) of this Agreement as though an Early Termination Date had been designated as a result of a Termination Event under the Agreement for which Party B was the sole Affected Party and the only Affected Transaction was the Transaction in respect of which the sale of the Relevant Mortgage Loans is being effected, provided that the MTM Value shall be calculated on the basis of a Termination Date for the Agreement that is no earlier than the date from which such Relevant Mortgage Loans become subject to the Seller’s standard variable rate.

Examples of MtM Value in a sentence

  • If Buyer does not object to Seller’s Determination within the time period and in the manner set forth in the second sentence of this Section 2.7(b) or if Buyer accepts Seller’s Determination, the Net Working Capital, MTM Value of the Trading Book, or Credit Support Payment, as applicable, as set forth in Seller’s Determination shall become final and binding upon the Parties for all purposes hereunder.

  • If the actual Net Working Capital, MTM Value of the Trading Book, or Credit Support Payment (as agreed between the Parties or as determined pursuant to clause (c) below) is greater than the NWC Estimate, MTM Estimate, or Credit Support Payment Estimate, as applicable, then Buyer shall pay Seller an amount equal to the difference between such amounts in accordance with Section 2.7(d).

  • If the Parties are unable to agree on the Net Working Capital, MTM Value of the Trading Book, or Credit Support Payment within fourteen (14) days after the applicable date on which the Buyer objects to Seller’s Determination pursuant to the preceding sentence, then any such disagreement shall be resolved in accordance with Section 2.7(c).

  • If the actual Net Working Capital, MTM Value of the Trading Book, or Credit Support Payment (as agreed between the Parties or as determined pursuant to clause (c) below) is less than the NWC Estimate, MTM Estimate, or Credit Support Payment Estimate, as applicable, then Seller shall pay Buyer the absolute value of the difference between such amounts in accordance with Section 2.7(d).
