MTI Business definition
MTI Business means the business being conducted by MTI as a going concern as at the Effective Time, and including, for greater certainty, substantially all of the assets and property of MTI, including the MicroCoal Technology;
MTI Business means all businesses, operations and activities (whether or not such businesses, operations or activities are or have been terminated, divested or discontinued) conducted at any time prior to the Effective Time by either Party or any member of its Group, other than the EV Business.
Examples of MTI Business in a sentence
No MTI Business Employee holding a management or executive position has notified MTI or any of its Subsidiaries of an intention to resign, retire or otherwise terminate his or her employment prior to the Closing or in connection with the transactions contemplated hereby nor, to the Knowledge of MTI, does any such MTI Business Employee have an intention to do so.
All MTI Business Assets, money, and profits will remain under the same distribution format currently in place.
The Parties shall use the procedures set forth in Article VI to resolve any disputes as to whether any information relates solely to the MTI Business, solely to the EV Business, or to both the MTI Business and the EV Business.
