The closing (the “Repurchase Right Closing”) of a purchase and sale of a Retained Property, MTE Property or Specified Property, as applicable, in connection with the exercise of a Repurchase Right shall occur at the New York offices of ▇▇▇▇▇ Lovells US LLP on the date that is ten (10) Business Days after the delivery of the written Repurchase Exercise Notice, except as otherwise agreed in writing by the Seller Parties and Purchaser.
Any transfer taxes assessed with respect to the transfer of a Retained Property, MTE Property or Specified Property, as applicable, pursuant to the exercise of the Purchaser Repurchase Right or the Seller Repurchase Right shall be paid by the Seller Parties.
The exercise of a Repurchase Right shall be by written notice delivered to the other Party, which notice shall include a reasonably detailed description of such Retained Property, MTE Property or Specified Property, as applicable, the reasons for such exercise, reasonable evidence, and a confirmation that the Repurchase Right has not expired pursuant to Section 6.3(d) (a “Repurchase Exercise Notice”).
