This Agreement or the Licenses granted hereunder may be terminated by (i) mutual written agreement of Provider and Customer, (ii) either party for a material breach of this Agreement by the other party that the breaching party fails to cure to the non-breaching party’s reasonable satisfaction within thirty (30) days following its receipt of notice of the breach (“ Breach”), and (iii) Provider for a Breach by a Third Party User or MSP Client.
Orders for Subscriptions may be placed by MSP through the execution of Order Forms with Elastic, setting forth the (i) applicable MSP Client, (ii) Subscription Level, (iii) Managed Services Offering, (iv) number of Billable Nodes and/or Resource Units for which MSP has purchased a Subscription, (v) Subscription Term, and (vi) total price for such Subscription.

This Exhibit A to the Agreement sets forth the minimum terms to be included in the MSP Client Agreement.
Following acceptance by MSP, Client may cancel or terminate this Agreement and any claim by MSP will be limited to the value of the agreement.
To the extent a Work is for any reason determined not to be owned by Starlight MSP, Client hereby irrevocably assigns and conveys to Starlight MSP all of its copyright in such Work.
In addition, the MSP Agreement must enable Customer to comply with Section 14 (Compliance Verification) as to the MSP Client’s use and must include a statement that the MSP Client has no recourse or claim whatsoever against SonicWall with respect to the Software or Services but shall look solely to the Customer.
If an audit reveals that Client has underpaid Fees to MSP, Client will pay such underpaid Fees.
Customer may install the Software on equipment owned and operated by the MSP Client provided that Customer retains administrative control of the Software.
MSP may terminate a SOW or this Agreement: i) if MSP does not receive the full amount due within 30 days of the date of an invoice; ii) if Client commits any breach of this Agreement or any SOW and fails to cure such breach within ten (10) days after receipt of Notice from MSP; iii) if, as solely determined by the MSP, Client fails to timely provide required information, including but not limited to asset inventory, passwords, or software/hardware licenses; or iv) the Parties mutually agree.
