MSLO Shares definition
MSLO Shares has the meaning given to such term in the Second Amendment.
MSLO Shares means a number of shares of Class A Common Stock equal to the quotient obtained by dividing (i) the amount by which the Contingent Payments due to the Sellers, if any, exceeds the Cash Portion by (ii) the per share price equal to the average of the closing prices of Class A Common Stock reported on the New York Stock Exchange for the 10 trading days immediately prior to the date of payment of the Contingent Payments, if any.

The Sellers shall be entitled to certain registration rights with respect to any MSLO Shares issued in connection with the Contingent Payments, as provided in the Registration Rights Agreement.
