  • MSK has the corporate power and authority to execute, deliver and perform this Agreement, the MSK License Agreement, the MSK Services Agreement and the Warrant Agreement (collectively, the "Other MSK Agreements") and to consummate the transactions contemplated hereunder and thereunder.
