As of the date of this Agreement, Parent and MSHC have good, valid and marketable title, free and clear of all Encumbrances, to the Stock, with full right and lawful authority to sell and transfer such shares to Buyer pursuant to this Agreement.
The MSHC may recommend that travel is restricted to insure proper monitoring.

In the event the Member fails to identify an approved workplace monitor, the MSHC shall make the selection.
