The Company, MSEC and Neptune acknowledge that the Company has meaningful brand equity which provides Neptune with the opportunity to extend the Company’s brand into complementary lines of business, other than food-related products for babies and toddlers, including but not limited to, vitamins, diapers, teenage snacks and foods and adult snacks and supplements.
In connection with any Sale of the Company, all indebtedness owed to Neptune and/or MSEC and/or their respective Affiliates, including as related to the Additional Capital Support, shall be paid in full at the closing of such transaction and prior to any distributions to the Stockholders.
