MSCA means the Manufacturing Services Collaboration Agreement between NXP, Purchaser Parent and Purchaser.

MSCA means an account denominated in euro to be maintained by the Bank in the name of each Guarantor, which shall be managed in accordance with the terms and conditions laid down by the Bank’s governing bodies from time to time. The MSCAs shall be debited with (i) Guarantee Payments, pursuant to this Agreement, (ii) debit interest to be calculated at a daily interest rate, payable on a monthly basis, to be determined and notified by the Bank in accordance with the applicable principles from time to time laid down by the Bank’s governing bodies and (iii) the Recovery Administration Fee. However, if the provisions of said local agreement are in conflict with this Agreement, this Agreement shall prevail; and provided further, that all payments and contributions to the MSCA shall be in accordance with the provisions of Article XXII of this Agreement, without regard to the provisions of any local agreement.
Copies of all correspondence between the Board or its agents and such unit member shall be simultaneously forwarded to the President of the MSCA.
Exhibitors may not conduct social functions in the exhibit area or in public areas of the hotel during the conference unless approved by MSCA.
If MSCA fails to hold its conference as herein provided, relocates its conference site to another hotel or city or fails to furnish Exhibitor exhibit space as stated herein, it shall refund to Exhibitor in full settlement of any loss of damage suffered or claimed by Exhibitor.

MSCA means the Manufacturing Services Collaboration Agreement as defined in the SBSA.
