MS Term definition

MS Term means shall mean the period beginning on 21 April 1998 and ending upon expiry or termination of this Agreement, howsoever arising.

Examples of MS Term in a sentence

  • The Parties may (but shall not be obligated to) agree to extend such M&S Term.

  • During the M&S Term, a Schrödinger support employee (“Designated Support Contact”) will be assigned by Schrödinger to provide the M&S Services for Unpaid Licensees.

  • Purchase for this option is on a subscription unit basis and each subscription unit for this option is 1.0 FTE for six (6) contiguous months (“Onsite MS Term”), which is equivalent to Customer having one designated eGain Onsite MS personnel on- site at Customer’s facility for up to (i) 40 hours per week for four (4) weeks or (ii) twenty (20) Business Days per month to perform On-Site MS tasks during the applicable Onsite MS Term.

  • Notwithstanding anything to the contrary in this Agreement or the GPU Agreement, the M&S Term shall continue thereafter in accordance with the following (unless the parties agree otherwise in writing): (i) Schrödinger shall charge DESRES for M&S Services after [**] as described below and (ii) Schrödinger may terminate M&S Services for convenience upon six (6) months’ prior written notice to DESRES after [**].

  • Schrödinger shall provide DESRES with M&S Services (as defined in the GPU Agreement) for the Software Product hereunder during the M&S Term (as defined in the GPU Agreement) as part of the M&S Services provided for the Desmond/GPU Software Product (as defined in the GPU Agreement) under the GPU Agreement.

  • During the M&S Term, DESRES agrees to provide Schrödinger with updates, fixes, upgrades, etc.

  • Schrödinger shall use commercially reasonable efforts to provide the same Designated Support Contact throughout the M&S Term.

  • Purchase for this option is on a subscription unit basis and each subscription unit for this option is up to a maximum of 8 hours per month for twelve (12) contiguous months (“Remote MS Term”), which is equivalent to Customer having the right to receive up to the maximum of 2 hours a week (“Weekly Remote MS Hours”) and for no more than 40 hours per month for Remote MS (“Monthly Remote MS Hours”) from eGain during the applicable Remote MS Term.

  • Notwithstanding the foregoing, the M&S Term as currently defined in the GPU Agreement concludes on [**].

Related to MS Term

  • Option Expiration Date means the last day of the maximum term of an Option.

  • Termination Period means the period of time beginning with a Change in Control and ending on the earlier to occur of (1) two years following such Change in Control or (2) the Executive’s death.

  • Original Term shall have the meaning specified in Section 10 hereof.

  • Optional Termination Date Any Distribution Date on or after which the Stated Principal Balance (after giving effect to distributions to be made on such Distribution Date) of the Mortgage Loans is less than 10.00% of the Cut-off Date Balance.

  • Facility Termination Date means the date as of which all of the following shall have occurred: (a) the Aggregate Commitments have terminated, (b) all Obligations have been paid in full (other than contingent indemnification obligations), and (c) all Letters of Credit have terminated or expired (other than Letters of Credit as to which other arrangements with respect thereto satisfactory to the Administrative Agent and the L/C Issuer shall have been made).
