MS Term definition

MS Term means shall mean the period beginning on 21 April 1998 and ending upon expiry or termination of this Agreement, howsoever arising.

  • Purchase for this option is on a subscription unit basis and each subscription unit for this option is up to a maximum of 8 hours per month for twelve (12) contiguous months (“Remote MS Term”), which is equivalent to Customer having the right to receive up to the maximum of 2 hours a week (“Weekly Remote MS Hours”) and for no more than 40 hours per month for Remote MS (“Monthly Remote MS Hours”) from eGain during the applicable Remote MS Term.

  • Purchase for this option is on a subscription unit basis and each subscription unit for this option is 1.0 FTE for six (6) contiguous months (“Onsite MS Term”), which is equivalent to Customer having one designated eGain Onsite MS personnel on- site at Customer’s facility for up to (i) 40 hours per week for four (4) weeks or (ii) twenty (20) Business Days per month to perform On-Site MS tasks during the applicable Onsite MS Term.

  • Purchase for this option is on a consumption unit basis and each consumption unit for this option is 1.0 FTE for 6 contiguous months (“ Onsite MS Term”), which is equivalent to Customer having one designated eGain Onsite MS personnel on-site at Customer’s facility for up to (i) 40 hours per week for 4 weeks or (ii) 20 Business Days per month to perform On- Site MS tasks during the applicable Onsite MS Term.

  • Schrödinger shall provide DESRES with M&S Services (as defined in the GPU Agreement) for the Software Product hereunder during the M&S Term (as defined in the GPU Agreement) as part of the M&S Services provided for the Desmond/GPU Software Product (as defined in the GPU Agreement) under the GPU Agreement.

  • Purchase for this option is on a subscription unit basis and each subscription unit for this option is up to a maximum of 8 hours per month for twelve (12) contiguous months (“Pooled Remote MS Term”), which is equivalent to Customer having the right to receive up to the maximum of 2 hours a week (“Weekly Pooled Remote MS Hours”) and for no more than 8 hours per month for Pooled Remote MS (“Monthly Pooled Remote MS Hours”) from eGain during the applicable Pooled Remote MS Term.

  • Purchase for this option is on a subscription unit basis and each subscription unit for this option is 1.0 FTE for six (6) contiguous months (“Dedicated Remote MS Term”), which is equivalent to Customer having one Dedicated Remote MS Personnel responsible for and managing work with Customer for up to (i) 40 hours per week for four (4) weeks or (ii) twenty (20) Business Days per month to perform Dedicated Remote MS tasks during the applicable Dedicated Remote MS Term.

  • During the M&S Term, DESRES agrees to provide Schrödinger with updates, fixes, upgrades, etc.

  • The Parties may (but shall not be obligated to) agree to extend such M&S Term.

  • Notwithstanding anything to the contrary in this Agreement or the GPU Agreement, the M&S Term shall continue thereafter in accordance with the following (unless the parties agree otherwise in writing): (i) Schrödinger shall charge DESRES for M&S Services after [**] as described below and (ii) Schrödinger may terminate M&S Services for convenience upon six (6) months’ prior written notice to DESRES after [**].

Related to MS Term

  • Option Expiration Date means the last day of the maximum term of an Option.

  • Termination Period means the period of time beginning with a Change in Control and ending on the earlier to occur of:

  • Original Term shall have the meaning specified in Section 10 hereof.

  • Optional Termination Date Any Distribution Date on or after which the Stated Principal Balance (after giving effect to distributions to be made on such Distribution Date) of the Mortgage Loans is less than 10.00% of the Cut-off Date Balance.

  • Facility Termination Date means the date as of which all of the following shall have occurred: (a) the Aggregate Commitments have terminated, (b) all Obligations have been paid in full (other than contingent indemnification obligations), and (c) all Letters of Credit have terminated or expired (other than Letters of Credit as to which other arrangements with respect thereto satisfactory to the Administrative Agent and the L/C Issuer shall have been made).

  • Term Expiration Date means the earlier of (i) the date that is thirty (30) years after the Term Commencement Date; provided that if such date occurs within an NFL Season or within thirty (30) days following an NFL Season, such date shall be automatically extended to the date that is thirty (30) days following the end of such NFL Season, as applicable, or (ii) the date on which the Stadium Lease is terminated pursuant to the express rights and terms of the Stadium Lease.

  • Initial Expiration Date shall have the meaning set forth in Section 1.1(d).

  • Series Termination Date means, with respect to any Series of Certificates, the date stated in the related Supplement.

  • Mandatory Termination Date means the "Termination Date" set forth under "Investment Summary--Essential Information" in the Prospectus for the Trust.

  • Project Term the period from the Operation Commencement Date to the Expiry Date or the Termination Date, whichever occurs first, which is further described in Clause 3;

  • Initial Term has the meaning set forth in Section 7.1.

  • Additional Term shall have the meaning set forth in Section 8.2.

  • First Extension Period means a period of twelve (12) consecutive months following the Initial Maturity Date.

  • Automatic Renewal Term has the meaning set forth in Section 10(a) hereof.

  • Initial Termination Date has the meaning set forth in Section 9.1(b)(i).

  • Offering Termination Date means the last day of each March, June, September and December following an Offering Commencement Date, or such other Offering Termination Date established in connection with a Terminating Event.

  • Delivery Period Termination Date Has the meaning specified in the Related Pass Through Trust Supplement.

  • Lease Expiration Date means the later of (i) the date of the final payment in full of the Dutch Note and (ii) the Vehicle Lease Expiration Date for the last Lease Vehicle leased by the Lessee hereunder. The “Term” of this Agreement shall mean the period commencing on the Lease Commencement Date and ending on the Lease Expiration Date.

  • Initial Optional Termination Date The first Distribution Date on which the aggregate Stated Principal Balance of the Mortgage Loans is equal to or less than 10% of the aggregate Stated Principal Balance of the Mortgage Loans as of the Cut-off Date.

  • Extended Termination Date has the meaning specified in Section 2.16(c).

  • L/C Expiration Date means the day that is thirty days prior to the Maturity Date then in effect (or, if such day is not a Business Day, the next preceding Business Day).

  • Final Termination Date means the last date of the final year in which the Applicant is required to Maintain Viable Presence and as further identified in Section 2.3.E of this Agreement.

  • a term s notice" means written notice given not later than the first day of the term preceding the term to which the notice relates;

  • Primary Term is defined in paragraph 4(a) of this Lease.

  • Post-Termination Period means a period of 12 months (subject to extension as set forth in Section 8(f)) following the effective date of the termination of Executive’s employment.
