So long as Company has not lapsed in its payment of Subscription Service Fees due hereunder during the Subscription Term, Beyond Identity shall provide Company (i) support services as further described in then- current M&S Schedule, a copy of which may be reviewed at ▇▇▇▇://▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇/docs/terms-legal; (ii) all upgrades and updates, at no additional charge ((i) and (ii) may individually or collectively be referred to as “M&S Services”).
In the event that the Customer is using the Managed Services for a number of users that exceeds that set out in the MS Schedule, or its use of servers, storage and exceeds that originally contemplated by the Supplier, then the Supplier reserves the right to levy a charge for such excess usage from the point at which such excess usage is identified based on the prevailing rates as defined by the Supplier from time to time.
MS shall accommodate any reasonable request by OPC to communicate the MS Schedule electronically or in such other manner as may benefit efficiency in OPC's Scheduling and dispatch operations.
OPC shall bear the costs of any such expansion, retrofit, upgrade, or other modification, including any contract modifications, and any incremental or expanded capacity and Electric Energy associated with such activity, shall not be made available to MS as a Contract Resource, but may be used, at OPC's discretion, to satisfy its obligations to MS arising under the MS Schedule.
MS shall not be entitled under this Agreement to Nominate in the MS Schedule or purchase Electric Energy in amounts in excess of the quantities available in accordance with the characteristics and Contract Resource Constraints set forth in Exhibit 3.1.
Such MS Schedule shall also describe the quantity of Electric Energy associated with Available Contract Resources that MS plans to purchase during each Interval of such day for resale to third parties.
