MS Reference Balance Sheet definition
MS Reference Balance Sheet means the unaudited consolidated balance sheet (including the related notes and schedules thereto) of MS, as of June 30, 1997 (such date being the "MS Reference Balance Sheet Date"), a copy of which is set forth in Section 3.07(a) of the Disclosure Schedules.

Reserves are reflected on the MS Reference Balance Sheet against all Liabilities of MS and the MS Subsidiaries in amounts that have been established on a basis consistent with the past practices of MS and the MS Subsidiaries and in accordance with U.S. GAAP.
