MS Reference Balance Sheet definition

MS Reference Balance Sheet means the unaudited consolidated balance sheet (including the related notes and schedules thereto) of MS, as of June 30, 1997 (such date being the "MS Reference Balance Sheet Date"), a copy of which is set forth in Section 3.07(a) of the Disclosure Schedules.
