Metals Supply has not received any written or, to the knowledge of the Sellers, oral notice that any improvements situated in whole or in part at any MS Property are not in material compliance with all applicable Laws.
The use of all MS Property for the purposes to which it is presently being used is permitted as of right under all applicable zoning Laws and is not subject to “permitted nonconforming” use or structure classifications.
Neither Company nor any Seller has received any written or, to the knowledge of the Sellers, oral notice that any improvements situated in whole or in part at any MS Property or the C&L Property are not in material compliance with all applicable Environmental, Health and Safety Laws or other Laws relating to environmental matters.
