MRMC Units definition
MRMC Units means the common units of MMLP that are owned by the Company or any of its subsidiaries (excluding common units held in treasury by MMLP) as of the Closing Date, but excluding the Common Units to be transferred by the Company to KCM at Closing. Furthermore, notwithstanding anything in this Agreement to the contrary, the restrictions on transfer set forth in Sections 1(a) and 1(b) shall not apply to any sale of the Common Units in an Underwritten Offering.
