MPU definition

MPU means Modular Production Unit of the Company; “NCR” means the Narcotic Control Regulations (Canada);
MPU stands for Media Preparation Unit and means the facility where media for Manufacture is prepared, as further described in Schedule 6.
MPU means the Maintenance and Project Unit maintained within the MNHE, with staff whose qualifications and experience shall at all time be acceptable to the Association;

  • Notwithstanding any of the foregoing, upon the occurrence of [****] Change of Control Transaction, AMD shall not be permitted thereafter to engage [****] as a second source manufacturer of any MPU Products, subject to a reasonable wind-down period to move the production of the applicable MPU Products to Qualified Processes at the FoundryCo Manufacturing Entities without materially affecting AMD’s supply obligations to its customers.

  • AMD may thereafter continue to purchase MPU Products over the [****] percent ([****]%) maximum until such time as FoundryCo demonstrates, as mutually agreed upon, that FoundryCo can meet the relevant Specifications and Yields for such MPU Product in a manner reasonably comparable or better than those of [****], as well as meet the applicable supply commitments set forth in this Agreement or as actually required by AMD.

  • Anything herein to the contrary notwithstanding, no Purchased Assets shall be deemed transferred or assigned pursuant to this instrument if any attempted transfer or assignment of the same without the consent or approval of another person or entity would in any way adversely affect the rights of Seller or Buyer in the Purchased Assets.

  • The methodology for calculating the pricing for MPU Products is set forth in Exhibit A attached hereto.

  • The pricing for MPU Products during the Transition Period shall be based on pricing specified in Section 7, and the exclusivity provision in Section 2.1(a) shall be waived from the beginning of the Transition Period in order to enable AMD to find and qualify a new manufacturing partner or to otherwise obtain manufacturing capabilities for MPU Products.

  • Notwithstanding the foregoing, upon the agreement of the parties with respect to any additional capacity requirements as specified in Section 2.2, the forecasts for capacity requirements for MPU Products shall be binding on each party regarding the Binding Forecast Period.

  • Notwithstanding the foregoing, no FoundryCo Sales Entity may reject an MPU Product purchase order submitted in accordance with Binding Forecasts and Lead Times, and will not unreasonably delay purchase order acknowledgments or unreasonably reject purchase orders submitted in accordance with applicable forecasts and Lead Times for all other Products.

  • From July 1, 2003, a Pilot’s contribution between this amount and an amount equal to 3 times the MPU in respect of pensionable service after July 1, 2003 applicable for that year (“Pilot RCA Contribution”) will be deposited into a Retirement Compensation Arrangement fund (“RCA Plan”) to be established and administered by Air Canada.

  • If at any time while AMD may purchase the applicable MPU Products from [****], FoundryCo cannot deliver in a timely manner Qualified Products produced on Qualified Processes that meet the Specifications in accordance with Binding Forecasts, the Partnership Committee shall promptly address the situation, including conducting a prompt review process and implementing a corrective action plan.

  • MPU Product pricing for the first [****] after the Effective Date shall be the amount as determined under Section 1 of Exhibit A.

  • Forecast GDP means the average forecast for British Columbia’s real GDP growth made by the Economic Forecast Council and as reported in the annual February budget of the government;

Sections 7401, et seq. as amended through November 15, 1990.

  • Forecast means a statement of expected meteorological conditions for a specified time or period, and for a specified area or portion of airspace;

  • Rolling Forecast has the meaning set forth in Section 4.2.
