LICENSOR hereby grants, to MPLC and its affiliates, the exclusive public performance rights under applicable copyright law (as a standalone right and, where applicable, also as a public viewing right incorporated within a separate right of communication to the public) necessary for the “Blanket Licensing” of the Programs.
MPLC is responsible for paying all of its operating costs during the period, and may not charge any amounts back to LICENSOR.
LICENSOR acknowledges that MPLC may pay a small royalty to certain independent producers which shall, in the aggregate, be limited to no more than five percent (5%) of the royalties.

Any and all rights not granted to Licensee in this Agreement are expressly reserved to MPLC and/or its rightsholders.
MPLC represents that it or its rightsholders may not possess the appropriate rights to certain individual titles, or, due to the expiration of those rights during the term of this Agreement, MPLC may send Licensee at any time during the term of this Agreement, binding notices that certain titles cannot be or may no longer be publicly performed under this Agreement.
The Movie License Booking Form, Price List, Certificate, Returns Form and these Terms and Conditions contain the full and complete agreement between MPLC and Licensee and shall be construed in accordance with the laws of England and Wales and the parties submit to the nonexclusive jurisdiction of the English Courts as regards to any claim or matter arising in relation to this Agreement.
LICENSOR shall grant to MPLC and its affiliates, exclusive public performance / communication to the public / exhibition rights necessary for blanket licensing of motion pictures, television and other audiovisual programs intended for personal, private use only or as otherwise provided by LICENSOR for the titles for which LICENSOR holds or may acquire during the term of this Agreement (“Programs”).
