Upon surrender of an MPI Certificate together with a Letter of Transmittal, duly executed, and in the form and having such other provisions as MPI shall reasonably request, the holder of such MPI Certificate shall be entitled to receive the Cash Payment provided for in Section 2.1 hereof in exchange therefor from the Exchange Agent, and such MPI Certificate shall thereafter be cancelled.
