MPC Benefit Plan definition

MPC Benefit Plan. “ means any U.S. Benefit Plan sponsored, maintained or contributed to by any member of the MPC Group, including the Marathon Petroleum Retirement Plan, the Marathon Petroleum Thrift Plan, the Marathon Petroleum Deferred Compensation Plan, the Marathon Petroleum Excess Benefit Plan, the Marathon Petroleum Termination Allowance Plan, the Marathon Petroleum Change in Control Severance Benefits Plan, the MPC/10 Retiree Health Plan and the MPC Welfare Plans, and any Benefit Plan assumed or adopted by any member of the MPC Group, specifically excluding any MRO Benefit Plans.

Examples of MPC Benefit Plan in a sentence

  • Nothing in this Agreement shall prohibit Marathon Petroleum or any other member of the MPC Group from amending, modifying or terminating any MPC Benefit Plan, at any time within its sole discretion provided that any such amendment, modification or termination shall not relieve Marathon Petroleum from any obligation herein and shall comply with any applicable requirements of the Tax Sharing Agreement.

  • The Parties acknowledge and agree that the transactions contemplated by the Distribution Agreement and this Agreement do not constitute a “change in control” for purposes of any MRO Benefit Plan or arrangement or any MPC Benefit Plan or other arrangement.

  • NTE and its Affiliates shall not be responsible for tuition reimbursement or any liability or obligation under any MPC Benefit Plan or SSA Benefit Plan that provides for tuition reimbursement.

  • On or before the Execution Date, MPC has delivered to NTI (on behalf of SPP Refining), with respect to each MPC Benefit Plan listed on Section 4.21(a) of the MPC Disclosure Schedules, a copy of the plan document (including all amendments thereto) and, to the extent applicable, a copy of the most recent summary plan description (and with respect to each such MPC Benefit Plan that is not in writing, a written description of the material terms thereof), including any amendments thereto.

  • No such MPC Benefit Plan is a multiemployer plan (within the meaning of section 3(37) of ERISA).

  • Without limiting the scope of the foregoing, if the applicable Employee Transfer Date occurs during an Acquired Employee’s participation in any MPC Benefit Plan or SSA Benefit Plan that provides for tuition reimbursement, any liability or obligation thereunder with respect to such Acquired Employee shall remain the obligation of MPC or SSA, as applicable.

  • For purposes of an Acquired Employee who is participating in any MPC Benefit Plan or SSA Benefit Plan that provides for tuition reimbursement immediately prior to the applicable Employee Transfer Date, MPC or SSA, as applicable, shall continue to pay, in accordance with such plan, the reimbursements for the then current covered class(es).
