Mortgage Note Documents definition

Mortgage Note Documents means (a) the Indenture dated as of April 1, 1928 between Opco and Los Angeles-First National Trust & Savings Bank, as original Trustee (and currently U.S. Bank National Association, as the successor Trustee thereunder), (b) any and all notes issued pursuant thereto, and (c) any purchase or exchange agreements executed in connection with either of the foregoing.
Mortgage Note Documents means, collectively, (i) the Mortgage Notes, the Indenture and each agreement, instrument, certificate, opinion, or other document executed and delivered by or on behalf of any Loan Party or any of its Subsidiaries in connection with the Mortgage Notes and (ii) each agreement, instrument, indenture, note, certificate, opinion or other document executed and delivered by or on behalf of any Person in connection with the issuance of any Securities referred to in clause (ii) or (iii) of the definition of Mortgage Notes; in each case, as amended, restated, supplemented or otherwise modified from time to time in accordance with the terms thereof and hereof.
Mortgage Note Documents means, collectively, this Securities Purchase Agreement, the Mortgage Notes, and the Security Documents, and shall not include the Environmental Indemnity Agreement.

  • This Security Agreement, together with all exhibits and schedules hereto, the other Security Documents, the Mortgage Notes and the Mortgage Note Documents constitute the entire agreement among the parties hereto pertaining to the subject matter hereof and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written, of the parties.

  • No waiver by the Secured Party of any Default or Event of Default shall be deemed to be a waiver of any other or similar, previous or subsequent Default or Event of Default or affect or alter this Security Agreement or the other Mortgage Note Documents which shall continue in full force and effect.

  • The Secured Party shall exercise such rights and apply such payments in accordance with the terms and conditions of this Security Agreement, Mortgage Note Documents and the Deeds of Trust.

  • Any action, suit or proceeding brought by the Secured Party pursuant to any of the terms of this Security Agreement, the other Mortgage Note Documents or otherwise, and any claim made by the Secured Party hereunder or thereunder, may be compromised, withdrawn or otherwise dealt with by the Secured Party upon notice to, but without approval of, the Company.

  • The Borrower has issued, pursuant to due authorization, the Senior Indebtedness under the applicable First Mortgage Note Documents, and such First Mortgage Note Documents constitute the legal, valid and binding obligations of the Borrower enforceable against the Borrower in accordance with its terms (except as such enforceability may be limited by applicable bankruptcy, insolvency, reorganization or similar laws affecting creditors' rights generally and by principles of equity).
