MONY Software definition
MONY Software means the software listed on Section 1.1(lll) of the Seller Disclosure Letter.

The Owned Registered IP and the Owned Unregistered IP (collectively and including, for the avoidance of doubt, the MONY Software, the “Owned Intellectual Property”) is each exclusively owned by MONY free and clear of all Liens, except for Permitted Liens.
Parent, Seller and their Affiliates hereby assign all rights in such modifications and derivative works to Purchaser and promptly after the creation by Purchaser or any of its Affiliates of any derivative works or modifications to the MONY Software, Purchaser or its Affiliates, as applicable, shall deliver or make available to Seller and its Affiliates any such modifications and derivative works in a form reasonably requested by Seller and its Affiliates.
