Monitor’s Certificate definition

Monitor’s Certificate means the certificate, substantially in the form attached as Schedule “A” to the Approval and Vesting Order, to be delivered by the Monitor to the Vendor and the Purchaser on Closing and thereafter filed by the Monitor with the Court certifying that it has received the Conditions Certificates.
Monitor’s Certificate means each certificate required pursuant to a Vesting Order to be issued by the Monitor in order for Acquired Assets to be vested in the Purchaser and/or the General Partner.
Monitor’s Certificate means the certificate filed with the CCAA Court by the Monitor certifying that the Monitor has received written confirmation in form and substance satisfactory to the Monitor from Sellers and Purchaser that all conditions to Closing have been satisfied or waived by the applicable Parties.

Examples of Monitor’s Certificate in a sentence

  • Upon receipt of written confirmation from the Purchaser that the conditions contained in Section 7.3 have been satisfied or waived by the Purchaser, and upon satisfaction or waiver by the Vendor of the conditions contained in section 7.1, the Vendor shall forthwith deliver to the Purchaser the Monitor’s Certificate pursuant to the Approval and Vesting Order, and shall file same with the Court.

  • Upon receipt of the Conditions Certificates, the Monitor shall: (i) issue forthwith its Monitor’s Certificate concurrently to the Sellers and Buyer, at which time the Closing will be deemed to have occurred; and (ii) file as soon as practicable a copy of the Monitor’s Certificate with the CCAA Court (and shall provide a true copy of such filed certificate to the Sellers and Buyer).

  • The Monitor will have no liability to Seller or Buyer or any other Person as a result of filing the Monitor’s Certificate or otherwise in connection with this Agreement, the Transaction Documents or the Transaction (whether based on contract, tort or any other theory).

  • Subject to the terms of the Approval and Vesting Order, upon receipt by the Monitor of the certificates from Buyer and Seller described in Sections 4.3(h) and 4.4(e), respectively, the Monitor shall deliver to Buyer and Seller and file with the Court the Monitor’s Certificate.

  • The Debtor shall deliver, or cause to be delivered, the Monitor’s Certificate (as defined in the Sale Approval and Vesting Order) executed by the Monitor, on or after a reasonable time following Closing.

  • The form of the Monitor’s Certificate attached as Schedule “A” hereto be and the same is hereby approved.

  • Upon receipt of the Conditions Certificates, the Monitor shall (i) issue forthwith its Monitor’s Certificate concurrently to WGC and AcquisitionCo, at which time the Closing will be deemed to have occurred; and (ii) file as soon as practicable a copy of the Monitor’s Certificate with the Court (and shall provide a true copy of such filed certificate to WGC and AcquisitionCo).

  • Monitor to file with the Court a copy of the Monitor’s Certificate, forthwith after issuance thereof.

  • THIS COURT ORDERS that, when all documents necessary to implement the Transaction are executed and delivered in escrow, subject only to the Articles of Arrangement being filed and the Director issuing the Director’s Certificate, the Monitor shall file with this Court a Monitor’s Certificate substantially in the form attached hereto as Schedule “A” (the “Monitor’s Certificate”).

  • The Monitor is to file with the Court a copy of the Monitor’s Certificate forthwith after delivery thereof.

  • Class S Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-18 hereto and evidencing an undivided beneficial interest in the Class S Specific Grantor Trust Assets. The Class S Certificates have no Pass-Through Rate, Certificate Balance or Notional Amount.
