Monetization Transactions definition

Monetization Transactions means the transactions, other than the Distribution, through which Section 361 Consideration received by Parent pursuant to the Contribution are actually disposed in accordance with the Tax Opinions/Rulings.

  • For all purposes of this Agreement, the term “Funded Debt” shall not include, with respect to the Borrower and its Subsidiaries, the contractual and other similar obligations of the Borrower and its Subsidiaries with respect to any Monetization Transactions.
