Licensee shall also be obliged to pay the Monetary Third Party Obligations in case of a sublicensing in accordance with this Agreement.
Licensee shall not be allowed to make any deductions from these payments under this Section 4.1 (a), provided that at the Effective Date, each and all such Monetary Third Party Obligations have been fully disclosed by ARES to Licensee and duly listed in Schedule 1.28 .
