Monetary Settlement definition

Monetary Settlement shall have the meaning set forth in Section 5.04(h)(vi)(B).
Monetary Settlement means the part of the Related Settlement in which only the Monetary Class Members may participate.
Monetary Settlement is defined in Section 9.4(b).

Examples of Monetary Settlement in a sentence

  • There will be no reduction of the Total Monetary Settlement Amount based on Opt- Out Sellers.

  • The payments made by AMC pursuant to the Confidential Agreement on Monetary Settlement Terms shall constitute full satisfaction of any claims by Plaintiffs and/or Plaintiffs’ Counsel for attorneys’ fees, costs, and/or expenses arising out of or associated with this matter and/or this Agreement (including, but not limited to, attorney’s fees and expert witness fees / expenses).

  • Within three (3) business days after the receipt of such funds, Plaintiffs’ Co-Lead Counsel shall send Defendants notice (by facsimile and electronic mail, to be followed by overnight delivery) (i) certifying that the Settlement Fund has timely received all of the Monetary Settlement Consideration from Defendants (“Payment Confirmation Notice”), or (ii) certifying that the Settlement Fund has not timely received all of the Monetary Settlement Consideration.

  • The amount of the payments and the timeline for remitting payments are provided for in the separate, confidential rider titled “Confidential Agreement on Monetary Settlement Terms,” executed contemporaneously with this Agreement.

  • In total, these payments of $7.75 million in a guaranteed payment and up to $10 million in contingent payments are the Total Monetary Settlement Amount.

  • This Agreement and the separate Confidential Agreement on Monetary Settlement supersede any and all other prior agreements or drafts, either written or oral, between the parties with respect to the subject matter hereof.

  • Except as set forth in this subparagraph, Sections 3(h) and 14 of this Settlement Agreement, the “Termination/Adjustment by Defendants Agreement” referenced in Section 14, and Sections 3(d)-(e) and 5 of the Escrow Agreement, Defendants are not entitled to any remittance or refund of the Monetary Settlement Consideration.

  • In no event ▇▇▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇’s monetary liability with respect to the Settlement exceed the Total Monetary Settlement Amount.

  • This Agreement and the separate Confidential Agreement on Monetary Settlement contain the entire understanding and agreement between the Parties regarding the matters set forth in it.

  • As set forth below, if this Agreement is not finally approved, is nullified pursuant to Section 12.3, is overturned or is modified on appeal or as a result of further proceedings on remand of any appeal with respect to this Agreement, or if the Effective Date otherwise does not occur, the balance of the Monetary Settlement Fund, including all earned and accrued interest, shall be returned to Defendants pursuant to Section 12.3.1.


More Definitions of Monetary Settlement

Monetary Settlement is a full and complete settlement of all claims in the Litigation if the terms of the settlement provide only for the payment of funds by Seller and do not contemplate any restriction on the use of patents which are the subject of the Litigation or the requirement that Buyer make any payment of any royalty or other amount for future use of any patents and (b) a "Non-Material Settlement" is a full and complete settlement of all claims in the Litigation which does not qualify as a Monetary Settlement so long as the only restrictions on Buyer involve the payment of a royalty to use the patent rights which are the subject of the Litigation at a rate not to exceed 5% of gross sales and Buyer obtains the right to use such patent rights for a term of at least three (3) years.
