In order to reduce the amount of liquidated damages that a Delinquent Member would be required to pay to the Company pursuant to Section 14.03 in the event that such Delinquent Member loses in an Arbitration Proceeding with respect to a Monetary Dispute, the Delinquent Member shall be permitted to pay the Company the related Disputed Monetary Amount prior to the commencement of such Arbitration Proceeding.
In the event that NEWROADS and the COMPANY are unable to resolve the Monetary Dispute, then the amount in dispute shall be deposited into escrow with an escrow agent mutually acceptable to both NEWROADS and the COMPANY until such dispute is resolved in accordance with the Section of this Agreement entitled, Arbitration.

The Notice of Dispute shall contain a brief statement of the nature of the Monetary Dispute and the relief requested and shall request negotiations among senior representatives of each Party who have authority to negotiate the settlement of the Monetary Dispute (“Senior Representatives”).
If a Notice of Dispute is given, the Parties shall first seek settlement of the Monetary Dispute by negotiation between Senior Representatives.
The party wishing to submit the Monetary Dispute (the "Demanding Party") shall so notify the other party (the "Responding Party") in writing, and shall state in such notice the final amount it demands in full satisfaction of the amount claimed due.
