Moderna Technology means collectively, Moderna Know-How and Moderna Patents.

Purchaser acknowledges and agrees that it does not acquire a license or any other right to any Moderna Technology other than the right to use the Product.
As between the Parties, all right, title and interest in and to all Moderna Technology will be the exclusive property of Moderna and no right or interest therein is transferred or granted to Purchaser under this Agreement.

Moderna Technology means any and all rights in any patents, patent applications, know-how, data, Trademarks (including Product Marks), inventions (whether or not patentable), copyrights, industrial designs, trade secrets and any other Intellectual Property Rights owned or otherwise controlled by Moderna or any of its Affiliates as of the Effective Date or any time during the Term.
