MOD Manual means the manual of operating data (whether in one or more volumes, in electronic or hard copy format, and as updated by BKE from time to time), including all translations and copies, setting out BKE’s mandatory restaurant operating, equipment and product standards, specifications and procedures as issued and amended from time to time by BKE or any of its Affiliates and includes any requirements of BKE relating to such matters, whether or not physically incorporated into the manual. The MOD Manual currently includes the Burger King Operations Manual, the Restaurant Equipment Manual, the Approved Brands and Distributors List, the Brand Standards Guide, the Ops Emphasis Guide, alerts and amendments thereto, and applicable policies established by BKE or its Affiliates from time to time.

• The amount of insurance as required in the MOD Manual or as contained in any of the policies shall not be construed to be a limitation of liability on the part of Franchisee.

• A copy of the MOD Manual must be securely and confidentially kept at the Franchised Restaurant at all times and all changes or additions to it must be inserted upon receipt.

• The MOD Manual shall at all times remain the sole property of Franchisor and shall at all times be kept in a secure place on the Restaurant premises.

• All equipment shall be maintained in a condition that meets operational standards specified in the MOD Manual, and as equipment becomes obsolete or inoperable, the Franchise shall replace such items with the types and kinds equipment as are then being installed in new Burger King Outlets at the time of replacement.

• If and only if Franchisee has an insufficient number of employees who have been trained to serve as members of an opening crew pursuant to the criteria set forth in the MOD Manual, then Franchisee further agrees to reimburse Franchisor for all reasonable expenses incurred in providing such opening crew for the Restaurant, including costs of transportation, lodging, meals and wages.

• Prior to the opening of the Restaurant, the Operating Principal or Operating Designee and at least two (2) of Franchisee's managers (up to a maximum of 4 managers) shall attend and complete, to Franchisor's satisfaction, the initial training program conducted by Franchisor and/or employees of Franchisee who have satisfied the initial training program criteria set forth in the MOD Manual.

• The Confidential Manual of Operating Data shall consist of a Food & Beverage Manual, Operations Manual, Managers' Training Manual, Employee and Management Training Guide, and an Equipment and Design Specifications Book (collectively the "MOD Manual").

• Franchisee, the Operating Principal, the Operating Designee, and Franchisee's Principals shall at all times treat the MOD Manual, any other manuals created for or approved for use in the operation of the franchised business, and the information contained therein, as confidential, and shall use all reasonable efforts to maintain such information as secret and confidential.

• The entire Franchised Restaurant must be open for business daily for such hours and days as BKE may from time to time specify in the MOD Manual or otherwise, unless and to the extent otherwise prohibited by applicable law.

• Any person subsequently employed by Franchisee in the position of manager and each subsequent Operating Principal or Operating Designee, if any, shall attend and complete, to Franchisor's satisfaction, an initial training program satisfying the criteria set forth in the MOD Manual; and Franchisee shall pay to Franchisor a training fee at the then- current rate being charged by Franchisor to franchisees for such training.
