For the avoidance of doubt, subject to the terms and conditions of the MNK Note, any net proceeds from dispositions of the Withholding Shares by MNK shall be paid by MNK to MRI to reduce the outstanding principal amount to be repaid (together with accrued interest thereon) under the MNK Note.
