Following its receipt of written notice or actual knowledge of the commencement of any action, suit, and proceeding before any court or Governmental Authority which would, if adversely determined, materially and adversely affect the ability of MMC, MMCC, or MMCE to perform its obligations under this Agreement or cause a Material Adverse Effect, MMC shall promptly give notice to PPM of the same.
MMCC, MMCE, and MMCN have each taken all actions required to authorize the execution, delivery and performance hereof and the consummation of the transactions contemplated hereby.
MMCN, MMCC, and MMCE are each limited liability companies duly organized and validly existing under the laws of Delaware.
Provider agrees to comply with all suitability or qualification requirements mandated by the MMCC in connection with the performance of Provider’s obligations under this Agreement.

It is anticipated that the consulting work will include assignments related to retention of the top twenty MMCC producers, assisting in the transition to new MMCC leadership, facilitating positive relationships with the new and existing MMCC leadership, attending Company events, and assisting with the acquisition and integration of teams or entities acquired by the Company, including MMCC.
The Client and the MMCC agree any legal or equitable action involving or arising out of this Agreement shall be in Michigan courts whose jurisdiction and venue shall be established in accordance with the statutes of the State of Michigan and/or Michigan Court Rules.
In no case, however, shall such approval relieve the MMCC from its obligations or change the terms of this Agreement.
MMCC shall provide the Client, at the time that the Agreement copies are returned by him/her for execution, a Certificate of Insurance as well as the required endorsements.
